Terms of Use

These Terms of Use constitute a legally binding agreement between you (the "User") and NotPeople, Inc., a company incorporated under the laws of the State of Delaware, USA (the "Company" or "NotPeople"), and govern your access to and use of the Platform and its related services.

By creating an account, linking a payment method, clicking the "I agree" button, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and accepted these Terms. If you accept these Terms on behalf of a legal entity, you represent and warrant that you have the authority to bind such entity. If you do not agree to these Terms, you must not use the Service.

1. Definitions

1.1 Platform (Service) means the NotPeople software system designed to interact with content on the social network X (Twitter) ("X") in an automated or semi-automated manner on behalf of the User through the AI agent Shiller. The Platform includes a web interface, APIs, AI agents, and backend infrastructure.

1.2 Account means a registered user account on the Platform and, where applicable, any external X account connected by the User.

1.3 Engagement Actions mean actions performed on X, including likes, reposts, comments, quotes, bookmarks, follows, and tweet creation when explicitly enabled by the User.

1.4 OAuth Tokens and X API Services mean any keys, tokens, credentials, and access rights to X platforms and APIs obtained and maintained by the User at their own expense.

1.5 AI Tokens mean units of consumption of generative and analytical AI model resources used by the Platform and the Shiller AI agent. Included AI Tokens depend on the selected subscription plan; additional AI Tokens may be purchased separately.

1.6 Output means texts, prompts, draft responses, and other materials generated by or with the assistance of Shiller, including through integrated language models.

1.7 Third-Party Services mean external services integrated with the Platform, including X, AI model providers, and payment processors such as Stripe.

1.8 Website means the website located at https://notpeople.ai, where the Platform interface and legal documentation are made available.

2. Eligibility and Registration

2.1 Age and Legal Capacity. The Service is available only to individuals who are at least 18 years old and have full legal capacity.

2.2 Registration. Registration may require an email address, password, or supported OAuth authentication methods. The User agrees to provide accurate, current, and complete information and to keep such information updated.

2.3 Account Security. The User is responsible for maintaining the confidentiality of Account credentials and for all activity occurring through the Account. Any suspected unauthorized access must be reported immediately. NotPeople may implement reasonable security measures, including multi-factor authentication.

2.4 Electronic Communications. The User consents to receive electronic communications from NotPeople, including legal notices, billing messages, service updates, and other operational communications.

2.5 Logs and Records. For security, compliance, and evidentiary purposes, NotPeople maintains logs of key events, including acceptance of these Terms, billing activity, agent configuration, and API usage, in accordance with the Privacy Policy.

3. Plans, Subscriptions, Payments, and Taxes

3.1 Subscription Plans. Current plans and pricing are displayed on the Website or during checkout. By subscribing, the User authorizes recurring charges according to the selected plan and prices effective at the time of billing. Included AI Tokens are determined by the plan. Additional AI Tokens and add-ons may be purchased separately. Prices exclude taxes unless stated otherwise.

3.2 Payment Authorization. By linking a payment method, the User authorizes NotPeople and its payment providers, including Stripe, to store such method and charge recurring subscription fees, one-time purchases, overages, and applicable taxes.

3.3 X Fees. Fees related to X APIs or developer plans are not included in the Service price and must be paid directly by the User to X. Changes in X pricing, limits, or availability are the User's responsibility.

3.4 Overage Charges. Usage exceeding plan limits may result in overage charges at the rates shown in the billing interface at the time of charge.

3.5 Failed Payments. If payment fails, NotPeople may retry the charge, suspend or limit access, and collect outstanding balances once payment succeeds.

3.6 Cancellation. Subscriptions may be canceled at any time via the billing interface. Cancellation takes effect at the end of the current billing period. Payments are non-refundable unless required by law.

3.7 Price Changes. NotPeople may change pricing or plan features prospectively. Notice will be provided at least one (1) day before changes take effect. Continued use constitutes acceptance.

3.8 Taxes. The User is responsible for all applicable taxes based on their tax residency. Where required by law, NotPeople may collect and remit taxes.

3.9 Cryptocurrency Payments. Where supported, payments may be made in cryptocurrency, including TRX. Blockchain transactions are irreversible and subject to volatility and network fees. Refunds, if applicable, are issued in USD or as account credit at NotPeople's discretion.

4. License and Use Restrictions

4.1 License Grant. Subject to compliance with these Terms and payment of applicable fees, NotPeople grants the User a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for internal business purposes or personal marketing related to the User's X account.

4.2 Restrictions. The User may not reverse engineer, decompile, modify, resell, lease, or create derivative services based on the Platform, nor circumvent technical safeguards.

4.3 Updates. The Platform may be updated automatically to improve functionality, security, or compliance.

5. X Platform Rules and API Limitations

5.1 Compliance with X Policies. The User must comply with X's terms of service, automation rules, anti-spam policies, and API usage requirements. This obligation is material.

5.2 OAuth and Access Levels. The User is responsible for maintaining valid OAuth credentials and required X access tiers.

5.3 Platform Changes. X may modify rules, limits, or enforcement mechanisms at any time. NotPeople does not guarantee uninterrupted access to X APIs.

6. AI Output and User Content

6.1 AI Output. Shiller may analyze content and generate Output. To the extent permitted by law and model provider terms, NotPeople assigns to the User its rights in Output generated for the User. No guarantees are made regarding accuracy, originality, or suitability.

6.2 Review Obligation. The User is solely responsible for reviewing and approving Output prior to publication and for ensuring legal and platform compliance.

6.3 User Content. The User retains ownership of their content and grants NotPeople a non-exclusive license to host, process, and use such content to provide and improve the Service, in accordance with the Privacy Policy.

7. Prohibited Use

The User shall not use the Service to:

  • engage in spam, inauthentic behavior, or manipulation of X;
  • bypass platform limits or enforcement mechanisms;
  • generate or distribute unlawful, infringing, or harmful content;
  • perform surveillance, biometric identification, or high-risk profiling without written consent;
  • introduce malware or interfere with Platform infrastructure;
  • trade in compromised or unlawfully obtained X accounts;
  • engage in any unlawful or harmful activity.

8. User Representations and Warranties

The User represents and warrants that they have all necessary rights and permissions to use the Service, comply with applicable laws and X rules, maintain required third-party subscriptions, and acknowledge the limitations of AI-generated Output.

9. Third-Party Services and AI Providers

The Platform integrates with Third-Party Services, including AI providers. NotPeople does not control such services, and their terms apply independently. The User authorizes data transfer as necessary to provide the Service.

10. Intellectual Property

The Platform and all related technology are the exclusive property of NotPeople. All rights not expressly granted are reserved.

11. Confidentiality and Data Protection

Non-public information must be protected and used solely for purposes of these Terms. Personal data processing is governed by the Privacy Policy. Absolute security is not guaranteed.

12. Availability, Modifications, and Support

The Service is provided on an "as available" basis and may be modified, limited, or discontinued. Support terms are described within the Platform.

13. Disclaimer of Warranties

The Service and AI Output are provided "as is" and "as available." NotPeople disclaims all warranties to the maximum extent permitted by law.

14. Limitation of Liability

NotPeople shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amounts paid by the User in the six (6) months preceding the claim.

15. Indemnification

The User agrees to indemnify and hold harmless NotPeople from claims arising from misuse of the Service, violation of these Terms, or violation of law or X rules.

16. Suspension and Termination

NotPeople may suspend or terminate access for violations or risk. Upon termination, all licenses cease. Provisions that by nature should survive shall remain in effect.

17. Governing Law, Arbitration, and Class Action Waiver

These Terms are governed by Delaware law and U.S. federal law. Disputes shall be resolved by binding arbitration administered by the American Arbitration Association. Jury trials and class actions are waived. The User may opt out of arbitration within thirty (30) days of first acceptance.

19. Miscellaneous

These Terms constitute the entire agreement between the parties. If any provision is held unenforceable, the remaining provisions remain in effect. The parties are independent contractors.
